Terms of Service
1. Who we are
Venture Connect (“the Platform,” “we,” “us”) is operated by Nurture Studio (“Nurture Studio,” “the Company”), based in Coimbatore, Tamil Nadu, India. Venture Connect is a network connecting founders raising capital or exploring M&A (“Founders”) with investors and acquirers (“Investors”). By creating an account, you agree to these Terms of Service (“Terms”).
2. What Venture Connect is — and is not
Venture Connect facilitates introductions between Founders and Investors. Venture Connect is not a broker-dealer, investment adviser, placement agent, or securities exchange, and does not provide investment advice, valuation opinions, or recommendations regarding any transaction. We do not verify the accuracy of any Founder’s business claims, financials, or projections, nor do we verify any Investor’s accreditation status, source of funds, or investment authority, except to the limited extent described for verification in Section 3.
Any decision to invest in, acquire, sell to, or be acquired by another user is made entirely at that user’s own risk and discretion. Nothing on the Platform constitutes an offer or solicitation to buy or sell any security.
3. Accounts, verification, and moderation
To use Venture Connect, you must create an account as either a Founder or an Investor and confirm your email address. Profiles become visible to other users as soon as they are created; we do not review profiles before they appear. You are solely responsible for the accuracy of everything in your profile.
Verification. You may request verification of your profile. If you do, we will carry out checks of our choosing, which may include asking you for documents. If those checks are completed to our satisfaction, your profile will display a verified badge. A verified badge means only that we completed our checks at that time — it is not a guarantee, endorsement, or certification of any claim made in a profile, of a user’s identity, financial standing, or authority, or of the merits of any transaction, and should not be relied upon as such. We may decline a verification request, and may remove a badge at any time, at our discretion. Verification is currently free; we may begin charging for it in future, and will tell you before any charge applies.
Moderation. We may suspend or remove any account or profile at our sole discretion, at any time, with or without explanation. A suspended account cannot request introductions, send messages, share or open documents, or request verification.
4. Confidentiality between users
This section governs how Founders’ and Investors’ confidential information must be handled once shared through the Platform.
4.1 What counts as Confidential Information
Any non-public information a Founder shares with an Investor through the Platform’s data room, pitch deck upload, pitch video, or direct messages arising from a Platform-facilitated introduction — including but not limited to financial information, business plans, technical information, customer information, and cap table information — is “Confidential Information” of that Founder.
4.2 Obligations of a party receiving Confidential Information
A user who receives another user’s Confidential Information through the Platform agrees to:
- Use it solely to evaluate a potential investment, acquisition, or other transaction with that specific Founder or Investor — not for any other business purpose, and not to benefit a competing company or portfolio company;
- Not disclose it to any third party without the disclosing party’s prior written consent, except to their own employees, partners, or professional advisers who need it for the same evaluation purpose and who are themselves bound by confidentiality obligations at least as protective as these;
- Not copy, reproduce, or store it outside what is reasonably necessary for that evaluation;
- Destroy or permanently delete it upon the disclosing party’s written request, or upon deciding not to proceed with a transaction, except for archival copies retained solely for legal or compliance purposes.
4.3 Specific acknowledgment at the point of access
Beyond agreeing to these Terms generally, an Investor must separately acknowledge these confidentiality obligations the first time they access a specific Founder’s data room, naming that Founder and the date of access, before any document or pitch video becomes available to them. This creates a specific, time-stamped record tied to that particular Founder and Investor, in addition to the general agreement in this Section 4.
4.4 Exclusions
These obligations do not apply to information that: was already known to the receiving party without an obligation of confidentiality; becomes public through no fault of the receiving party; is independently developed by the receiving party without reference to the Confidential Information; or is required to be disclosed by law, regulation, or court order (in which case the receiving party should, where legally permitted, notify the disclosing party before complying).
4.5 The role of the Platform
Venture Connect is not a party to the confidentiality obligations between Founders and Investors described in this Section 4, and does not guarantee, monitor, or enforce compliance with them. These are obligations users owe directly to each other. The per-access acknowledgment in Section 4.3 is intended to make each user’s confidentiality promise specific and directly enforceable by the Founder whose information was shared, not merely a promise made to the Platform in the abstract — but Venture Connect itself will not investigate, mediate, or take responsibility for breaches between users, and disclaims all liability arising from any user’s misuse or disclosure of another user’s Confidential Information.
Users who need stronger protection for a specific transaction — particularly for later-stage due diligence — should execute their own separate, bilaterally negotiated non-disclosure agreement outside the Platform. Venture Connect’s confidentiality terms are a baseline, not a substitute for deal-specific legal counsel.
5. User content and intellectual property
You retain ownership of everything you upload to Venture Connect — pitch decks, documents, videos, and profile content (“User Content”). By uploading User Content, you grant Venture Connect a limited license to host, store, and display it solely for the purpose of operating the Platform (including showing it to users you’ve granted access to, or who you’ve connected with).
You represent that you have the right to upload and share your User Content, and that doing so does not infringe any third party’s rights or violate any confidentiality obligation you owe to someone else.
6. Prohibited conduct
You agree not to:
- Misrepresent your identity, credentials, or the entity you represent;
- Scrape, harvest, or bulk-export other users’ data or Confidential Information;
- Use the Platform to solicit users for purposes unrelated to fundraising, investing, or M&A (including recruiting, sales, or marketing outreach);
- Attempt to circumvent the introduction process to contact other users directly before an introduction has been made;
- Upload malicious files or attempt to compromise Platform security; or
- Use the Platform for any unlawful purpose.
7. Account termination and data retention
You may delete your profile at any time, which removes it from the directory going forward. Consistent with how Venture Connect actually operates: deleting your profile does not delete documents, intro history, or audit records already shared with a connected counterparty — those remain intact for their records, since the counterparty relied on them being genuine and available.
We may suspend or terminate any account for violation of these Terms, at our discretion.
8. Disclaimers
The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, though we take reasonable steps toward reliability and security.
9. Limitation of liability
To the maximum extent permitted by law, Nurture Studio and Venture Connect will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Platform or any transaction, introduction, or interaction facilitated by it — including any breach of confidentiality by another user.
10. Indemnification
You agree to indemnify and hold harmless Nurture Studio and Venture Connect from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your User Content, or your interactions with other users.
11. Governing law and disputes
These Terms are governed by the laws of India, with disputes subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-product notice before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
